This Non-Compete & Non-Solicitation Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Individual Name] ("Individual").
Non-compete enforceability varies significantly by jurisdiction — several U.S. states restrict or void them entirely for most workers. Confirm this type of clause is enforceable in [State / Jurisdiction] before relying on it.
During the term of Individual’s engagement with Company and for [Number] months afterward, Individual agrees not to engage in [Description of Competing Activity] within [Geographic Area], except with Company’s prior written consent.
During the same period, Individual agrees not to directly solicit any client or customer of Company that Individual worked with or learned about during their engagement, for a competing purpose.
During the same period, Individual agrees not to solicit or encourage any employee or contractor of Company to leave their role with Company.
In exchange for these commitments, Company provides Individual with [Consideration — e.g. access to confidential information, the engagement itself, a one-time payment of [Amount]].
If any restriction in this Agreement is found to be broader than necessary to protect Company’s legitimate business interests, the parties intend for a court to narrow it to the maximum extent enforceable rather than void it entirely.
