This Distributor Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Distributor Name] ("Distributor"), granting Distributor rights within [Territory], on a [exclusive / non-exclusive] basis.
Company will sell the following products to Distributor for resale: [Product List], at the wholesale pricing described in [Attachment].
Distributor will place orders via [Process]. Payment is due within [Number] days of invoice, via [Payment Method].

This Agreement continues for [Term] and renews automatically for [Renewal Term] periods unless either party gives [Number] days’ notice of non-renewal. Either party may terminate for uncured material breach after [Number] days’ written notice.
Distributor is an independent business, not an agent, employee, or partner of Company, and has no authority to bind Company.
