This Freelance Graphic Design Agreement ("Agreement") is entered into as of [Effective Date] between [Designer Name] ("Designer") and [Client Name] ("Client").
Designer will create [Description of Deliverables — e.g. logo, brand identity, marketing materials] according to the brief in [Attachment / Section reference].
This Agreement includes [Number] rounds of revisions per deliverable. Additional revision rounds, or changes to the creative direction after approval, are billed at [Rate].
Client agrees to pay [Rate — e.g. $X flat fee / $X per hour], with [Percentage]% due upon signing and the balance due upon final delivery. Late payments accrue interest of [Rate]% per month, or the maximum permitted by law.
Upon full payment, Designer will deliver final files in [Formats — e.g. PNG, PDF, AI]. Editable source files are [included / available for an additional fee of [Amount]].
Upon full payment, Designer assigns to Client all right, title, and interest in the final approved deliverables. Client is responsible for any licensing fees on stock photography, fonts, or other third-party assets Designer sources at Client’s request, unless otherwise agreed. Designer may display the finished work in their portfolio and promotional materials unless Client opts out in writing.
Designer is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits.
Either party may terminate this Agreement with [Number] days’ written notice. Client agrees to pay for all work completed up to the effective date of termination.
Each party’s total liability under this Agreement is limited to the total fees paid or payable. Neither party is liable for indirect or consequential damages.
