This Independent Contractor Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Contractor Name] ("Contractor").
Contractor will provide the following services to Company: [Description of Services]. Company may issue additional statements of work referencing this Agreement from time to time.
Company will pay Contractor [Rate] for the Services described above, payable [Frequency — e.g. monthly, upon milestone completion]. Contractor is responsible for invoicing Company in accordance with the agreed schedule.
Contractor is an independent contractor and not an employee, partner, or agent of Company. Contractor is solely responsible for all applicable taxes, insurance, licenses, and permits related to performing the Services.
All work product created by Contractor specifically for Company under this Agreement is a "work made for hire" to the extent permitted by law, and Company owns all right, title, and interest in it. To the extent any such rights do not automatically vest in Company, Contractor hereby assigns them to Company upon creation.
Unless otherwise agreed in writing, Contractor is responsible for providing their own equipment and covering their own expenses in performing the Services.
Contractor agrees to keep confidential all non-public information belonging to Company that Contractor accesses in the course of performing the Services, both during and after the term of this Agreement.
During the term of this Agreement and for [Number] months afterward, Contractor agrees not to directly solicit Company’s employees or clients for a competing purpose, except with Company’s prior written consent.
Contractor agrees to indemnify Company against claims arising from Contractor’s negligent acts or omissions in performing the Services. Contractor will maintain any insurance reasonably required for the nature of the Services performed.
Either party may terminate this Agreement with [Number] days’ written notice, or immediately for material breach that remains uncured after [Number] days’ notice.
