This Freelance Service Agreement ("Agreement") is entered into as of [Effective Date] between [Freelancer Name] ("Freelancer") and [Client Name] ("Client").
Freelancer agrees to perform the following services (the "Services"): [Description of Services / reference to attached scope of work]. Deliverables and milestones, if any, are described in [Attachment / Section reference].
Client agrees to pay Freelancer [Rate — e.g. $X per hour / $X flat fee] for the Services. Invoices are due within [Number] days of receipt. Late payments accrue interest of [Rate]% per month, or the maximum permitted by law, whichever is lower.
Work will begin on [Start Date] and is expected to be completed by [End Date], subject to timely feedback and materials from Client.
Upon full payment, Freelancer assigns to Client all right, title, and interest in the final deliverables created under this Agreement. Freelancer retains ownership of any pre-existing tools, templates, or materials used to create the deliverables, and grants Client a license to use them as incorporated into the deliverables.
Freelancer is an independent contractor, not an employee of Client. Freelancer is responsible for their own taxes, insurance, and benefits, and is not entitled to any employee benefits from Client.
Each party agrees to keep confidential any non-public information received from the other party in connection with this Agreement, and to use it solely to perform its obligations under this Agreement.
Either party may terminate this Agreement with [Number] days’ written notice. Client agrees to pay Freelancer for all Services performed up to the effective date of termination.
Neither party will be liable to the other for indirect, incidental, or consequential damages arising out of this Agreement. Each party’s total liability under this Agreement is limited to the total fees paid or payable under this Agreement.
