This Retainer Agreement ("Agreement") is entered into as of [Effective Date] between [Freelancer Name] ("Freelancer") and [Client Name] ("Client").
Each month, Freelancer will provide up to [Number] hours of [Type of Services] to Client (the "Retainer Scope"). Specific tasks will be assigned by Client and agreed to by Freelancer on an ongoing basis.
Client agrees to pay a fixed monthly retainer fee of [Amount], due on the [Day] of each month, regardless of the exact number of hours used that month.
Work requested beyond the Retainer Scope in a given month will be billed separately at [Overage Rate] per hour, or as a new project quote, subject to Client’s prior approval.
This Agreement begins on the Effective Date and automatically renews each month unless either party gives [Number] days’ written notice of cancellation.
Either party may terminate this Agreement with [Number] days’ written notice. Unused retainer hours do not roll over or carry a cash refund unless otherwise agreed in writing.
Freelancer is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits.
Each party agrees to keep confidential any non-public information received from the other in connection with this Agreement.
