Freelance Virtual Assistant Contract: Access, Confidentiality & Hours

Account access and data security, confidentiality, task scope, and billing structure — what a generic freelance template misses for virtual assistant work.

Virtual assistant work has a contract concern most other freelance fields don't: you're often handed direct access to a client's accounts, inboxes, and passwords. That access needs its own set of terms, on top of the usual scope and payment basics.

What's specific to VA work

Account access and data security. If you're given login credentials to email, social media, scheduling tools, or a CRM, state how those credentials are handled — not shared with anyone else, not reused elsewhere, and returned or deactivated at the end of the engagement. This matters as much for the client's protection as for clarifying your own responsibilities if something goes wrong on an account you have access to.

Confidentiality, explicitly. Beyond account access, VAs frequently see a client's business operations up close — pricing, supplier relationships, unreleased plans. A confidentiality clause matters more here than in most freelance work, precisely because of how much visibility the role has by default. If that's the structure, state what happens when hours run out mid-month — does work pause, or does it continue at an overage rate — so it isn't a surprise on either side.

Tools and software access. Clarify who provides and pays for any tools required to do the work (a project management tool, a scheduling platform) — the client's existing subscription, or your own.

Termination notice. Because VAs are often deeply embedded in day-to-day operations, a defined notice period before either side can end the engagement (rather than an abrupt stop) helps both sides transition account access and handoffs cleanly.

A practical structure

  1. Task categories included, and how out-of-scope requests are handled.
  2. Billing structure: hourly, or a monthly block of hours, with an overage rate defined.
  3. Account access terms: which accounts, how credentials are handled, and what happens to access at termination.
  4. Confidentiality clause (or a separate NDA for higher-sensitivity engagements).
  5. Tools/software provided by which party.
  6. Termination notice period.
