Consulting and coaching engagements fail in a specific way most freelance work doesn't: the deliverable is advice, not a fixed artifact, which makes scope and expectations much easier to argue about later. Here's what to lock down.

Where generic contracts fall short for advisory work

Scope creep is the default failure mode. Unlike a logo or a website, "strategic guidance" has no natural finish line. Without a defined scope — number of sessions, specific deliverables (a report, a framework, a set of recommendations), or a fixed engagement period — a client can reasonably expect ongoing access indefinitely for the same fee. Define what's included, and what triggers a new statement of work.

Results disclaimers. You can guarantee your process, not a client's results. A coach can't promise a client will hit a revenue target; a consultant can't guarantee a strategy will work once implemented by someone else. State plainly that recommendations don't guarantee specific outcomes — this protects you if a client's results don't match their expectations for reasons outside your control.

Ownership of your frameworks and methodology. If you bring a proprietary framework, assessment, or process into the engagement, the client's payment covers using it for their business — not owning it, reselling it, or teaching it to others. Say so explicitly, or a client may assume anything you deliver in a session belongs to them outright.

Confidentiality, both directions. You'll likely see a client's financials, internal strategy, or team dynamics up close. A mutual confidentiality clause protects the client's information — and protects you if they later dispute what was discussed or agreed to in a session.

Session/call cancellation and no-show policy. For coaching in particular, define the notice required to reschedule a session without losing it, and whether late cancellations or no-shows are billed. Without this, unpredictable scheduling can quietly erode your effective hourly rate.

Non-disparagement, if relevant. Advisory relationships can end on bad terms if a client doesn't like the advice they paid for. A mutual non-disparagement clause is worth considering for higher-stakes engagements.

A practical structure

  1. Engagement scope: session count, deliverables, or a fixed period — with a clear process for scoping additional work.
  2. Payment structure: package fee, hourly, or monthly retainer.
  3. Results disclaimer.
  4. Ownership terms for frameworks, templates, and methodology you bring to the engagement.
  5. Mutual confidentiality clause.
  6. Cancellation/no-show policy for scheduled sessions.
  7. Termination terms and notice period.
