Freelance Bookkeeper & Accountant Contract: Access, Liability & Deadlines

Financial data confidentiality, account access, liability limits, and tax-deadline responsibility — what a generic freelance template misses for bookkeeping work.

Bookkeeping and accounting work carries a specific kind of risk most freelance fields don't: you're handling a client's financial data directly, and mistakes or missed deadlines can have real financial or legal consequences for them. Here's what a contract for this work needs to cover.

What's specific to bookkeeping and accounting work

Confidentiality of financial data, explicitly. Beyond general professional discretion, state clearly that bank statements, payroll data, tax records, and financial reports are confidential and won't be shared or used beyond the scope of the engagement. This is worth its own clause, not just an assumption.

Account and software access. If you're given access to bank feeds, accounting software (QuickBooks, Xero), or payroll systems, define how credentials are handled, who owns the data within those systems, and what happens to your access when the engagement ends.

Scope: bookkeeping vs. tax preparation vs. advisory. These are different services with different liability exposure. Be explicit about which you're providing — reconciling books is not the same as filing a tax return, and a contract that blurs the two can leave you exposed for work you didn't actually agree to do.

A liability limitation clause. Since errors in financial records can have downstream consequences (a wrong number affecting a loan application, a tax filing), a clause limiting your liability to the fees paid for the engagement — excluding cases of gross negligence or willful misconduct — is standard practice in this field, more so than in most other freelance work.

Deadline responsibility, especially around tax dates. If your work feeds into a filing deadline, state clearly what you need from the client and by when to hit that date, and that delays caused by late or incomplete client information aren't your responsibility.

Data retention and return after termination. Define how long you retain the client's financial records after the engagement ends, and what's returned or deleted — client financial data isn't something to hold indefinitely without a stated policy.

Errors and omissions insurance, if you carry it. If you carry E&O insurance, mentioning it in the contract can be a point of reassurance for clients who are (rightly) cautious about who handles their finances.

A practical structure

  1. Scope: bookkeeping, tax preparation, and/or advisory — defined separately.
  2. Billing structure: hourly, monthly retainer, or per-return fee.
  3. Account and software access terms.
  4. Confidentiality clause specific to financial data.
  5. Liability limitation clause.
  6. Client responsibilities and deadlines (especially around tax dates).
  7. Data retention and return policy after termination.
