Free general-purpose template, not legal advice. Fill in the placeholders and consider having a lawyer review it before you rely on it.

1. Parties & Effective Date

This Retainer Agreement ("Agreement") is entered into as of [Effective Date] between [Freelancer Name] ("Freelancer") and [Client Name] ("Client").

2. Retainer Scope

Each month, Freelancer will provide up to [Number] hours of [Type of Services] to Client (the "Retainer Scope"). Specific tasks will be assigned by Client and agreed to by Freelancer on an ongoing basis.

3. Retainer Fee & Payment

Client agrees to pay a fixed monthly retainer fee of [Amount], due on the [Day] of each month, regardless of the exact number of hours used that month.

4. Overage / Additional Work

Work requested beyond the Retainer Scope in a given month will be billed separately at [Overage Rate] per hour, or as a new project quote, subject to Client’s prior approval.

5. Term & Renewal

This Agreement begins on the Effective Date and automatically renews each month unless either party gives [Number] days’ written notice of cancellation.

6. Termination

Either party may terminate this Agreement with [Number] days’ written notice. Unused retainer hours do not roll over or carry a cash refund unless otherwise agreed in writing.

7. Independent Contractor Status

Freelancer is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other in connection with this Agreement.

9. Governing Law & Signatures

This Agreement is governed by the laws of the State of [State / Jurisdiction].

Frequently asked questions

Free to download, no sign-up, and no cap on how many clients you set up on retainer with this template.

The clause worth reading twice is the overage terms — work beyond the included monthly hours is billed separately, so define the overage rate and the approval process clearly, or scope creep becomes a dispute instead of a line item. Also decide up front whether unused hours roll over: this template defaults to no rollover and no refund, which is standard for retainers but should be a deliberate choice, not something the client discovers after the fact.

At minimum: the monthly hour or scope cap included in the retainer, the fixed monthly fee (charged regardless of exact hours used), an overage rate for work beyond that scope, auto-renewal terms and how either side cancels, and what happens to unused hours at month-end. This is built for recurring, ongoing work — not a one-off project, which is what distinguishes it from a standard freelance service agreement.

Download the PDF and fill in the monthly fee, hour cap, and overage rate with any PDF editor, or load it into SignFastAi through "Sign this online for free" to edit and send it there.

This page is the retainer agreement itself. SignFastAi's core product handles getting it signed: upload the filled-in agreement, place signature fields, and send a secure link to your client.
