Freelance Copywriter Contract: Usage Rights, Ownership & Kill Fees
Ghostwriting vs. byline, usage rights, revision limits, and when ownership actually transfers — what a generic freelance template misses for copywriting work.
Copywriting contracts run into a specific problem: the "product" is words, which makes it easy to assume a client can use them however they want, wherever they want, forever — unless the contract says otherwise. Here's what to define.
What's specific to copywriting work
Usage rights and exclusivity. Does the client get to use the copy only for the project it was written for (a single landing page, one email campaign), or anywhere, indefinitely? Can you reuse similar phrasing, structure, or research for other clients afterward, or is it exclusive to them? Web copy, ad copy, and long-form content are often licensed differently — state which applies.
Ghostwriting vs. byline. If you're writing under the client's name or brand voice with no attribution, say so explicitly — and clarify whether you're free to list the work in your portfolio (even without direct quotes) once it's published.
When ownership actually transfers. "The client owns the copy" usually means on full payment, not on delivery — if a client cancels before final payment, you should retain rights to unpublished drafts. State this explicitly rather than leaving it implied.
Revision rounds, capped. Copywriting invites "just tweak the wording" requests more than most creative work, precisely because revisions feel low-effort from the client's side. Cap the number of included revision rounds and state the rate for additional ones.
A kill fee for cancelled projects. If a client cancels mid-project — after research and a first draft, but before final delivery — a kill fee (a percentage of the project fee, or payment for work completed) protects the time already invested.
Confidentiality for drafts and brand materials. You'll often see unreleased product details, brand positioning, or internal messaging guidelines before they're public. A confidentiality clause covers this, separate from the copy itself.
Rush fees for tight deadlines. Copy requests often come with a hard external deadline (a launch, a campaign date). State your standard turnaround and whether faster delivery is available at a rush rate.
A practical structure
- Scope: word count, format (landing page, email sequence, ad copy), and number of pieces.
- Usage rights: exclusive/non-exclusive, which channels, duration.
- Ownership transfer terms (tied to full payment).
- Ghostwriting/attribution and portfolio-display terms.
- Revision rounds included, and additional-round pricing.
- Kill fee for early cancellation.
- Confidentiality for unreleased brand materials.
SignFastAi's free Creative & Web Design Services Agreement template already includes a kill fee, revision limits, and usage-rights language — it works for copywriting as well as visual design work; just adjust the deliverables section to match your scope.
Getting it signed and invoiced
