Freelance Graphic Designer Contract: Usage Rights, Revisions & Kill Fees

The clauses that matter most for design work — image/logo usage rights, revision limits, file delivery, and what happens if a project gets cancelled midway.

Design work has a few contract issues that don't come up the same way in other freelance fields — mainly around who can use the finished work, and how. Here's what a solid graphic design contract should nail down.

The clauses generic templates usually skip

Usage rights, not just ownership. For design work, "who owns it" matters less than "what can the client actually do with it." Can the client use a logo only for the agreed purpose (e.g. a specific product line), or for anything, forever? Is it exclusive, or can you reuse similar design elements for other clients? Print rights and digital/web rights are often licensed separately in the design industry — don't assume one covers the other unless you say so.

Revision rounds, explicitly capped. "A few rounds of revisions" is not a number. State exactly how many rounds are included (e.g. two rounds of feedback per deliverable) and what an additional round costs, so "can we just try one more direction" doesn't quietly become five unpaid iterations.

A kill fee for mid-project cancellations. Design projects get cancelled — budgets change, a rebrand gets shelved. A kill fee (e.g. a percentage of the remaining contract value, or payment for all work completed to date) protects the hours you've already put in if a client pulls the plug halfway through.

File format and delivery. Final PNGs and PDFs aren't the same as editable source files (AI, PSD, Sketch, Figma). Specify exactly which formats are delivered, and whether editable source files are included in the price or billed separately — this is one of the most common points of disagreement after a project wraps.

Portfolio rights. Unless a client specifically needs confidentiality, most designers want to display finished work in their portfolio. State this explicitly so it isn't an awkward ask after the fact.

A practical structure

  1. Scope and deliverables (e.g. "logo suite: primary mark, 2 variations, brand color palette").
  2. Revision rounds included, and the rate for additional rounds.
  3. Payment schedule — a deposit before work begins is standard for design work specifically, given how easy revisions are to keep requesting without one.
  4. Usage rights: exclusive/non-exclusive, print/digital, duration.
  5. Kill fee for early cancellation.
  6. File formats delivered, and whether source files are included.
  7. Portfolio display rights.
