1. Parties & Company

This Co-Founder Agreement ("Agreement") is entered into as of [Effective Date] between the following founders of [Company Name] (the "Company"): [Founder Names] (each a "Founder").

2. Roles & Responsibilities

Each Founder’s initial role and primary responsibilities are: [Founder Name — Role/Responsibilities, for each Founder]. Roles may evolve as the Company grows, by mutual agreement of the Founders.

3. Equity Split

Founder equity in the Company is allocated as follows: [Founder Name — Percentage, for each Founder], subject to the vesting schedule below.

4. Vesting

Each Founder’s equity vests over [Number] years, with a [Number]-month cliff, meaning no equity vests until that date, after which it vests [monthly / quarterly] in equal installments. This protects the Company and remaining Founders if someone leaves early.

5. IP Assignment

Each Founder assigns to the Company all intellectual property they create in connection with the Company’s business, including anything created before this Agreement that relates to the Company’s business, as listed in [Attachment].

6. Decision-Making

Day-to-day decisions are made by [Decision-Making Structure — e.g. the Founder responsible for that area]. Major decisions ([List — e.g. raising funding, issuing new equity, taking on debt above $X]) require [Approval Threshold — e.g. unanimous consent].

7. Founder Departure

If a Founder leaves the Company before their equity is fully vested — voluntarily or involuntarily — their unvested equity is forfeited back to the Company, and the Company has the option (but not the obligation) to repurchase some or all of their vested equity at [Valuation Method — e.g. fair market value].

8. Dispute Resolution

Founders agree to first attempt to resolve disagreements directly, then through [Mediation / another agreed process], before pursuing other remedies.

9. Governing Law & Signatures

This Agreement is governed by the laws of the State of [State / Jurisdiction].

The vesting schedule and cliff (Section 4) is the clause that does the real work here — without it, a founder who leaves after a month walks away with their full equity stake, which is exactly what vesting exists to prevent. Section 7's departure terms need to say clearly what happens to unvested equity (typically it's forfeited back to the company) and whether the company can buy back vested equity, since founders often assume this is obvious when it isn't written down.

Each founder's equity split and role, a vesting schedule with a cliff (standard is 4 years with a 1-year cliff), IP assignment so anything founders build belongs to the company, decision-making authority for both day-to-day and major decisions, what happens to a departing founder's equity, and a dispute-resolution process. Vesting is the clause worth not skipping, even between friends — it protects everyone if someone's circumstances change.
