This Employee Confidentiality & Invention Assignment Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Employee Name] ("Employee"), in connection with Employee’s employment with Company.
Employee agrees to hold in confidence, and not disclose or use except as required to perform their job, all non-public business, technical, and customer information belonging to Company, both during and after employment.
Employee agrees that all inventions, designs, code, written materials, and other work product created within the scope of employment, or using Company’s resources or confidential information, belong to Company. Employee will sign any documents reasonably requested to confirm this assignment.
Inventions Employee created before this employment, and listed in [Attachment — list of prior inventions, or "None"], are excluded from this assignment.
Upon termination of employment, Employee will return all documents, devices, and materials containing Company’s confidential information or work product.
For [Number] months after termination of employment, Employee agrees not to solicit Company’s employees or contractors to leave Company.
The confidentiality and assignment obligations in this Agreement survive termination of employment for any reason.
