Affiliate Agreement

1. Parties & Effective Date

This Affiliate Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Affiliate Name] ("Affiliate").

2. Affiliate Program

Company grants Affiliate a non-exclusive right to promote [Product/Service] using tracked links or codes provided by Company, in accordance with Company’s brand and promotion guidelines described in [Attachment].

3. Commission

Affiliate earns a commission of [Rate]% of [Net Sales Price] on each sale attributed to Affiliate’s tracked link within [Cookie/Attribution Window — e.g. 30 days], paid [Frequency], subject to a minimum payout threshold of [Amount].

4. Prohibited Practices

Affiliate agrees not to use spam, misleading claims, trademark bidding on Company’s brand terms without permission, or other prohibited promotion methods described in [Attachment]. Violations may result in forfeiture of unpaid commissions and termination.

5. No Employment

Affiliate is an independent participant in Company’s affiliate program, not an employee, partner, or agent of Company.

6. Term & Termination

Either party may terminate this Agreement at any time. Company will pay any commissions earned and confirmed valid before termination, subject to the payout threshold.
