Referral Agreement

1. Parties & Effective Date

This Referral Agreement ("Agreement") is entered into as of [Effective Date] between [Company Name] ("Company") and [Referrer Name] ("Referrer").

2. Referrals

Referrer may introduce potential customers to Company. A "Qualified Referral" is a new customer who was not already in contact with Company, and who Company confirms was introduced by Referrer.

3. Referral Fee

Company will pay Referrer [a flat fee of [Amount] / [Percentage]% of the first [invoice / X months of revenue]] for each Qualified Referral that becomes a paying customer, paid within [Number] days after Company receives payment from that customer.

4. No Guarantee

Company is not obligated to accept any particular referral as a customer, and no fee is owed for referrals that do not convert to paying customers.

5. No Agency

Referrer has no authority to make representations, negotiate terms, or bind Company in connection with any referral.

6. Term & Termination

This Agreement continues until terminated by either party with [Number] days’ written notice. Fees owed for Qualified Referrals made before termination remain payable.
