Freelance Copywriting Agreement

1. Parties & Effective Date

This Freelance Copywriting Agreement ("Agreement") is entered into as of [Effective Date] between [Writer Name] ("Writer") and [Client Name] ("Client").

2. Project Description

Writer will write [Description of Deliverables — e.g. website copy, blog posts, email sequence] according to the brief in [Attachment / Section reference].

3. Payment

Client agrees to pay [Rate — e.g. $X flat fee / $X per word / $X per hour], with [Percentage]% due upon signing and the balance due upon final delivery.

4. Revisions

This Agreement includes [Number] rounds of revisions per deliverable. Additional rounds, or requests that materially change the scope or direction, are billed at [Rate].

5. Kill Fee

If Client cancels a project after Writer has begun work but before delivery, Client agrees to pay a kill fee of [Percentage]% of the agreed price for that deliverable, covering time already invested.

6. Usage Rights & Attribution

Upon full payment, Writer assigns to Client all right, title, and interest in the final approved copy, for use in [Scope — e.g. the specified channels only / all channels in perpetuity]. Unless otherwise agreed, this is a ghostwriting arrangement and Writer will not be credited or named as the author; Client may not resell the copy as a standalone product to third parties.

7. Research & Sources

Writer will rely on information and materials provided by Client and publicly available sources. Client is responsible for fact-checking and approving all copy before publication.

8. Independent Contractor Relationship

Writer is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits.

9. Limitation of Liability

Each party’s total liability under this Agreement is limited to the total fees paid or payable. Neither party is liable for indirect or consequential damages.

10. Governing Law & Signatures

This Agreement is governed by the laws of the State of [State / Jurisdiction].
