1. Parties & Effective Date

This Freelance Web Development Agreement ("Agreement") is entered into as of [Effective Date] between [Developer Name] ("Developer") and [Client Name] ("Client").

2. Scope of Work

Developer will build [Description of Website/Application] according to the specifications in [Attachment / Section reference], including [Number] rounds of revisions to the agreed scope. Work outside this scope will be quoted separately.

3. Payment & Milestones

Client agrees to pay [Rate — e.g. $X flat fee / $X per milestone], due as follows: [Milestone Schedule]. Late payments accrue interest of [Rate]% per month, or the maximum permitted by law.

4. Timeline

Development will begin on [Start Date] and is expected to be complete by [End Date], subject to timely feedback, content, and credentials from Client.

5. Source Code & Repository

Upon full payment, Developer transfers ownership of all custom source code written for this project to Client, including access to the project repository. Developer retains ownership of any pre-existing frameworks, libraries, or internal tools used, and grants Client a license to use them as incorporated into the final deliverable. Third-party plugins, themes, or APIs remain subject to their own licenses.

6. Hosting & Access

Client is responsible for providing hosting, domain, and any third-party service accounts needed for the project, or reimbursing Developer for reasonable costs if Developer sets these up on Client’s behalf. All credentials remain Client’s property and will be handed over at project completion.

7. Post-Launch Support

Developer will fix bugs in the delivered work (not new feature requests) at no additional charge for [Number] days after launch. Support beyond this window, including hosting/maintenance, is billed separately at [Rate].

8. Independent Contractor Relationship

Developer is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits.

9. Limitation of Liability

Neither party is liable to the other for indirect, incidental, or consequential damages. Each party’s total liability under this Agreement is limited to the total fees paid or payable.

10. Governing Law & Signatures

This Agreement is governed by the laws of the State of [State / Jurisdiction].
