1. Parties & Effective Date

This Virtual Assistant Services Agreement ("Agreement") is entered into as of [Effective Date] between [VA Name] ("VA") and [Client Name] ("Client").

2. Services

VA agrees to perform the following services (the "Services"): [Description of Services — e.g. inbox management, scheduling, customer support]. Tasks outside this description will be quoted separately.

3. Hours & Payment

VA will provide up to [Number] hours per [week/month] at a rate of [Rate] per hour, or a flat retainer of [Amount] per [week/month]. Hours beyond this cap are billed at [Overtime Rate] and require Client’s prior approval. Invoices are due within [Number] days of receipt.

4. Account Access & Credentials

Client will provide VA with access to the accounts, tools, and systems needed to perform the Services, ideally via a password manager or shared-access tool rather than plain-text credentials. VA agrees to use this access solely to perform the Services and to return or revoke access upon termination of this Agreement.

5. Confidentiality

VA agrees to keep confidential all business, customer, and financial information encountered while performing the Services, both during and after this Agreement, and to use it solely to perform the Services.

6. Tools & Equipment

VA will use their own equipment and, unless otherwise agreed, their own subscriptions to any tools required to perform the Services. Client-specific software or paid tools required solely for this engagement will be provided or reimbursed by Client.

7. Independent Contractor Relationship

VA is an independent contractor, not an employee of Client, and is responsible for their own taxes, insurance, and benefits. VA is free to provide services to other clients, provided doing so does not breach the confidentiality obligations above.

8. Termination

Either party may terminate this Agreement with [Number] days’ written notice. Client agrees to pay for all hours worked up to the effective date of termination.

9. Limitation of Liability

Each party’s total liability under this Agreement is limited to the total fees paid or payable in the [Number]-month period before the claim arose. Neither party is liable for indirect or consequential damages.

10. Governing Law & Signatures

This Agreement is governed by the laws of the State of [State / Jurisdiction].
